1. Introduction

Welcome to rec'd ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the rec'd mobile application, website (recd.co), and any related services, tools, or features (collectively, the "Service").

By creating an account, logging in, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

rec'd Limited is a private company limited by shares registered in England and Wales with company number 16691456 and registered office at 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ.


2. Eligibility

2.1 Minimum Age

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you are at least 13 years old.

If you are between the ages of 13 and 15 (inclusive), you may only use the Service with the verified consent of a parent or legal guardian. By permitting a user aged 13 to 15 to access the Service, the parent or guardian agrees to these Terms on their behalf, accepts responsibility for the user's activity on the Service, and consents to the processing of the user's personal data as described in our Privacy Policy.

Users aged 16 and over may use the Service and accept these Terms independently.

2.2 Legal Capacity

If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and references to "you" shall include that organisation.

2.3 Geographic Availability

The Service is currently available in the United Kingdom and may be expanded to additional regions at our discretion. We make no representations that the Service is appropriate or available for use in all locations.


3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate and complete
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorised use of your account or any other breach of security
  • Accept full responsibility for all activities that occur under your account

3.2 Account Verification

We may require you to verify your identity, age, or other information at any time. Failure to complete verification when requested may result in restricted access to or suspension of the Service.

3.3 Account Suspension and Termination

We reserve the right to suspend, restrict, or terminate your account at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms or any applicable law
  • Conduct that we determine, in our sole discretion, is harmful to the Service, other users, creators, venues, or third parties
  • Prolonged inactivity
  • Fraudulent, abusive, or suspicious activity
  • At our sole discretion for any other reason

You may delete your account at any time through the Service settings or by contacting us at hello@recd.co. Upon deletion, we will process your personal data in accordance with our Privacy Policy.


4. The Service

4.1 Description

rec'd is a social discovery platform that enables users to discover restaurants, bars, cafés, and other venues through recommendations from trusted creators and friends. The Service may include, but is not limited to, the following features and functionality:

  • Personalised venue recommendations and discovery
  • Social features including following, sharing, and connecting with other users and creators
  • Content creation, curation, and sharing tools
  • Venue search, filtering, and exploration
  • Data import from third-party platforms (such as Google Maps and Instagram)
  • Venue visit verification and check-in functionality
  • Booking and reservation facilitation
  • Lists, collections, and saved places management
  • Creator attribution and discovery
  • Any other features, tools, or services we may introduce from time to time

4.2 Modifications to the Service

We reserve the right to modify, update, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

4.3 Service Availability

We endeavour to keep the Service available at all times but do not guarantee uninterrupted or error-free access. The Service may be subject to limitations, delays, disruptions, and other issues inherent to the use of the internet and electronic communications. We are not responsible for any delays, delivery failures, or other damage resulting from such issues.


5. User Content and Conduct

5.1 User-Generated Content

The Service allows you to create, post, share, store, and transmit content including reviews, recommendations, ratings, lists, photos, videos, comments, and other materials ("User Content").

5.2 Ownership of User Content

You retain all ownership rights in your User Content. However, by submitting User Content to the Service, you grant rec'd a worldwide, non-exclusive, royalty-free, transferable, sublicensable, irrevocable licence to use, reproduce, distribute, prepare derivative works of, display, perform, and otherwise exploit your User Content in connection with the Service and our business operations, including without limitation for purposes of:

  • Operating, providing, and improving the Service
  • Promoting and marketing the Service and rec'd's business
  • Developing and training algorithms, machine learning models, and artificial intelligence systems
  • Generating aggregated insights, analytics, and reports
  • Any other purpose related to our business operations

This licence continues even if you stop using the Service or delete your account, to the extent your User Content has been shared with other users, incorporated into aggregated or anonymised datasets, or otherwise distributed prior to deletion.

5.3 Content Representations

By submitting User Content, you represent and warrant that:

  • You own the User Content or have the necessary rights, licences, and permissions to grant the rights described in these Terms
  • Your User Content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, or other rights
  • Your User Content complies with these Terms and all applicable laws and regulations

5.4 Content Moderation

We reserve the right, but are not obligated, to review, monitor, edit, remove, or disable access to any User Content at any time, for any reason or no reason, without notice. We are not responsible for any User Content posted by users of the Service.

5.5 Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Post, upload, or share content that is defamatory, obscene, abusive, threatening, harassing, hateful, discriminatory, or otherwise objectionable
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
  • Post false, misleading, or fraudulent reviews, recommendations, or other content
  • Collect, harvest, or store personal data of other users without their express consent
  • Use any automated means (including bots, scrapers, spiders, or crawlers) to access, monitor, or copy any part of the Service without our prior written permission
  • Attempt to gain unauthorised access to any part of the Service, other users' accounts, or any systems or networks connected to the Service
  • Interfere with, disrupt, or impose an unreasonable burden on the Service or its infrastructure
  • Circumvent, disable, or otherwise interfere with any security, access control, or technical protection features of the Service
  • Use the Service to send spam, unsolicited messages, or other bulk communications
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, or structure of the Service or any part thereof
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service for commercial purposes without our express written permission
  • Use the Service in any manner that could damage, disable, overburden, or impair the Service
  • Encourage or facilitate any of the foregoing

5.6 Social Media Content

The Service may display content sourced from social media platforms including, but not limited to, Instagram and TikTok. This content is subject to the terms and conditions of those platforms and the rights of the original creators. We respect intellectual property rights and expect users to do the same.


6. Intellectual Property

6.1 Our Intellectual Property

The Service and all content, features, functionality, technology, and materials (excluding User Content) are owned by rec'd Limited and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. This includes, without limitation:

  • The rec'd name, logos, trademarks, and branding
  • The design, layout, look, and feel of the Service
  • Our proprietary algorithms, recommendation systems, data models, and technology
  • All software, code, databases, and technical infrastructure
  • All text, graphics, images, audio, video, and other materials we create or license

6.2 Limited Licence to You

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your personal, non-commercial use. This licence does not include the right to:

  • Modify, adapt, or create derivative works of the Service
  • Copy, reproduce, or distribute any part of the Service
  • Sell, resell, licence, or commercially exploit the Service
  • Use the Service for any purpose other than as expressly permitted by these Terms

6.3 Trademarks

"rec'd" and all related names, logos, product and service names, designs, and slogans are trademarks of rec'd Limited. You may not use our trademarks without our prior written permission. All other trademarks not owned by us that appear on the Service are the property of their respective owners.

6.4 Feedback

If you provide us with any feedback, suggestions, ideas, or recommendations regarding the Service ("Feedback"), you grant us an unrestricted, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate such Feedback into the Service or our business operations without any obligation to you.


7. Recommendations and Algorithms

The Service uses proprietary algorithms and technology, including artificial intelligence and machine learning systems, to provide personalised recommendations. Our recommendation systems consider various factors which may include, but are not limited to, your preferences, location, social connections, past activity, behavioural patterns, and content from creators you follow.

The recommendations provided through the Service are for informational and entertainment purposes only. We make no warranties, representations, or guarantees regarding the accuracy, completeness, reliability, suitability, or availability of any recommendation, venue information, or content provided through the Service. You acknowledge that:

  • Recommendations are algorithmically generated and may not reflect your individual preferences in all cases
  • Venue information (including menus, prices, opening hours, and availability) may change without notice and we are not responsible for inaccuracies
  • Your experience at any venue may differ from what is suggested or described on the Service
  • We do not endorse, guarantee, or assume responsibility for any venue, product, or service recommended through the Service

8. Bookings and Transactions

8.1 Third-Party Bookings

The Service may facilitate bookings and reservations through integration with third-party booking platforms. Any bookings made through the Service are subject to the terms and conditions of the relevant third-party provider. We act solely as an intermediary and are not a party to any transaction between you and a venue or booking provider.

8.2 Payments

Certain features of the Service may require payment. All fees are stated in GBP unless otherwise specified. We reserve the right to introduce, change, or discontinue fees at any time, with reasonable notice for existing subscriptions.

8.3 Payment Processing

Payments are processed through third-party payment processors (such as Stripe). Your payment information is subject to the payment processor's terms and privacy policy. We do not store your complete payment card details on our systems.

8.4 Subscriptions and Auto-Renewal

If you purchase a subscription, it will automatically renew at the end of each subscription period unless you cancel before the renewal date. You authorise us to charge your payment method for each renewal. You may cancel your subscription at any time through the Service settings, but you will not receive a refund for any unused portion of your current subscription period unless required by applicable law.

8.5 Refunds

All fees are non-refundable except as required by applicable law (including the Consumer Rights Act 2015) or as otherwise stated in these Terms. We may, in our sole discretion, offer refunds or credits on a case-by-case basis.

8.6 Free Trials and Promotional Offers

We may offer free trials or promotional pricing from time to time. At the end of any free trial or promotional period, you will be charged the applicable subscription fee unless you cancel before the trial or promotional period ends.


9. Creator and Venue Features

9.1 Creator Accounts

The Service may include features and tools designed for content creators, including attribution tracking, analytics, and other creator-specific functionality. Creators may be subject to additional terms, guidelines, or agreements as specified by us from time to time.

9.2 Venue Participation

Venues featured on the Service may participate in promotional features, booking integrations, sponsored content, and other commercial arrangements. The presence of a venue on the Service does not constitute an endorsement by rec'd.

9.3 Attribution and Analytics

We track and attribute user discoveries, engagement, and visits to the creators and content that influenced them. This attribution data may be shared with creators and venues in aggregated or individual form as part of our Service features and commercial operations.


10. Data Usage and Commercial Operations

10.1 Aggregated and Anonymised Data

We may collect, aggregate, anonymise, de-identify, or otherwise process data derived from your use of the Service to create datasets, insights, reports, analytics, and other informational products. Such aggregated and anonymised data does not identify you personally and is not subject to restrictions on use or disclosure.

10.2 Commercial Use of Data

We may use aggregated and anonymised data for any commercial purpose, including but not limited to:

  • Providing data products and insights to business partners, commercial clients, and third parties
  • Producing industry reports, market research, and trend analyses
  • Supporting advertising, promotional, and marketing activities
  • Business development, strategic planning, and revenue generation

10.3 AI and Algorithm Development

You acknowledge and agree that we may use data derived from your use of the Service to train, develop, improve, and operate machine learning models, artificial intelligence systems, and other automated technologies used in connection with the Service and our broader business operations.


11. Third-Party Services and Links

The Service may contain links to, or integrations with, third-party websites, applications, or services ("Third-Party Services"). These Third-Party Services are not under our control, and we are not responsible for their content, privacy practices, terms, or operations. Your use of Third-Party Services is at your own risk and subject to the terms and conditions of those services. We do not endorse or assume any responsibility for any Third-Party Services.


12. Disclaimers

12.1 "As Is" and "As Available"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

12.2 No Guarantee

We do not warrant that:

  • The Service will meet your requirements or expectations
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the Service will be accurate, reliable, or complete
  • Any defects or errors in the Service will be corrected
  • The Service is free of viruses, malware, or other harmful components

12.3 Venue and Content Disclaimers

We do not guarantee the accuracy, completeness, or reliability of any venue information, user reviews, creator content, or recommendations provided through the Service. We are not responsible for the quality, safety, legality, or suitability of any venue, product, or service featured on or accessible through the Service.

12.4 Consumer Rights

Nothing in these Terms excludes or limits any warranty, condition, or other right that cannot be lawfully excluded or limited under applicable law, including the Consumer Rights Act 2015. If you are a consumer in the United Kingdom, you have legal rights that cannot be overridden by these Terms.


13. Limitation of Liability

13.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REC'D LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, exemplary, or punitive damages
  • Any loss of profits, revenue, data, goodwill, or business opportunity
  • Any loss arising from or related to your use of or inability to use the Service
  • Any loss arising from any User Content, venue information, recommendation, or third-party content
  • Any loss arising from unauthorised access to or alteration of your data or transmissions

13.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100).

13.3 Consumer Protections

Nothing in this section excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded or limited under applicable law, including the Consumer Rights Act 2015

13.4 Basis of Bargain

The limitations and exclusions of liability in these Terms reflect a reasonable and fair allocation of risk between you and rec'd, and form an essential basis of the bargain between us. We would not be able to provide the Service to you on an economically reasonable basis without these limitations.


14. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless rec'd Limited, its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement of any third party's rights
  • Any dispute between you and any other user of the Service

This indemnification obligation does not apply to the extent that the relevant claim, damage, or loss arises from our negligence, wilful misconduct, or breach of these Terms.


15. Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

15.2 Jurisdiction

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer, you may also bring proceedings in the courts of the country in which you are domiciled.

15.3 Informal Resolution

Before filing a formal claim, you agree to attempt to resolve any dispute informally by contacting us at hello@recd.co. We will endeavour to resolve the dispute by contacting you via email. If the dispute is not resolved within 30 days of initial contact, either party may proceed with formal proceedings.


16. Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will notify you through the Service, by email, or by other appropriate means prior to the changes taking effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and delete your account.


17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms or policies referenced herein, constitute the entire agreement between you and rec'd Limited regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

17.2 Severability

If any provision of these Terms is found to be unenforceable, invalid, or illegal by a court of competent jurisdiction, that provision shall be limited or severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

17.3 Waiver

Our failure or delay in exercising any right or enforcing any provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any right or provision shall only be effective if made in writing and signed by an authorised representative of rec'd Limited.

17.4 Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may assign, transfer, or delegate our rights and obligations under these Terms without restriction and without notice to you.

17.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, strikes, shortages of transportation, fuel, energy, labour, or materials, or failures of telecommunications or internet infrastructure.

17.6 Survival

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, limitations of liability, and dispute resolution provisions.

17.7 No Third-Party Beneficiaries

These Terms do not confer any rights or remedies on any third party, except as expressly provided herein. Nothing in these Terms is intended to or shall create any rights enforceable by any person who is not a party to these Terms under the Contracts (Rights of Third Parties) Act 1999.

17.8 Notices

Any notices required or permitted under these Terms shall be sent to you at the email address associated with your account, or to us at hello@recd.co. Notices shall be deemed received when sent by email, unless the sending party receives an automated notification of delivery failure.

17.9 Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and rec'd Limited. You have no authority to bind rec'd in any respect.


18. Complaints

In accordance with the Data (Use and Access) Act 2025, we maintain formal mechanisms for handling complaints. If you have a complaint about the Service or how we handle your personal data:

We will acknowledge your complaint within 30 days and take appropriate steps to investigate and respond. If you are not satisfied with our response, you may escalate your complaint to the relevant regulatory authority.
